1. Application of These Terms

1.1 This Agreement constitutes all terms and conditions governing access to and use of the TransitionR platform and services (“Services”).

1.2 This Agreement forms a binding legal agreement between the User and Perception Performance Pty Ltd ABN 39 682 706 038 trading as TransitionR (“TransitionR”, “we”, “us”).

1.3 TransitionR delivers its Services using technology infrastructure licensed from Goheadhunt Pty Ltd under a Platform-as-a-Service arrangement. Goheadhunt is not a party to this Agreement and does not contract directly with Users of TransitionR unless separately agreed.

1.4 This Agreement commences on the User’s first access or use of the Platform and continues until terminated in accordance with these Terms.


2. Nature of Services

2.1 TransitionR is a specialist athlete workforce transition business that:

  • Connects former athletes with Employers;
  • Curates exclusive athlete talent pools;
  • Provides job-ready coaching and career preparation;
  • Delivers video-based candidate insight tools;
  • Provides post-placement support services;
  • Facilitates structured employer engagement.

2.2 TransitionR is not:

  • An employer of Athletes;
  • A recruitment agency unless explicitly stated in a separate written agreement;
  • A guarantor of employment, retention or performance outcomes.

2.3 TransitionR provides a technology-enabled facilitation service only. Any employment agreement is strictly between the Employer and Athlete.


3. Platform Infrastructure

3.1 The Platform is powered by technology licensed from Goheadhunt.

3.2 Users acknowledge that:

  • TransitionR controls the commercial relationship;
  • Goheadhunt provides technical hosting and infrastructure only;
  • Goheadhunt is not liable to Users for employment outcomes.

3.3 TransitionR may suspend or restrict access for operational, security, or compliance reasons.


4. User Categories

Users may register as:

  • Athlete Users
  • Employer Users
  • Partner Organisation Users

Each User category is subject to the obligations below.


Athlete Terms

5. Athlete Obligations

5.1 Athletes must provide accurate, current and complete information, including:

  • Identity and contact details;
  • Sporting background and performance history;
  • Employment history;
  • Work eligibility;
  • Education and certifications;
  • References (with consent).

5.2 Athletes warrant that all information and Video Interview Content is truthful and not misleading.

5.3 Athletes grant TransitionR a non-exclusive, worldwide, royalty-free licence to use their User Content for:

  • Employment matching;
  • Coaching services;
  • Employer access;
  • Platform operation;
  • Promotional case studies (subject to consent where required).

5.4 Athletes may adjust visibility settings within the Platform.

5.5 Athletes acknowledge that:

  • Video interviews may be viewed by authorised Employers;
  • Employers make independent hiring decisions;
  • TransitionR does not control Employer decisions.

Employer Terms

6. Employer Obligations

6.1 Employers must provide:

  • Company name;
  • ABN/ACN;
  • Authorised contact details;
  • Billing information (if applicable).

6.2 Employers may:

  • Access exclusive athlete talent pools;
  • View pre-recorded video interviews;
  • Use structured evaluation tools;
  • Communicate via the Platform.

6.3 Employers must not:

  • Download, copy, screen-record or redistribute video interviews;
  • Use Athlete data for purposes outside recruitment;
  • Discriminate unlawfully;
  • Share candidate data externally without consent.

6.4 Employers remain solely responsible for:

  • Hiring decisions;
  • Employment contracts;
  • Compliance with workplace laws;
  • Workplace safety;
  • Onboarding and performance management.

COACHING & SUPPORT

7. Coaching Services

7.1 TransitionR provides job-ready coaching including:

  • Interview preparation;
  • Resume refinement;
  • Skill translation support;
  • Workplace readiness guidance.

7.2 Coaching Services are advisory only and do not guarantee employment.


8. Post-Placement Support

8.1 TransitionR may provide structured post-placement support including:

  • Early-stage check-ins;
  • Transition guidance;
  • Performance adjustment coaching.

8.2 Employers acknowledge that post-placement support does not replace their HR or managerial obligations.


Data & Confidentiality

9. Confidential Information

Users must treat:

  • Athlete performance history;
  • Video interviews;
  • Evaluation scores;
  • Coaching notes;
    as confidential.

Unauthorised disclosure may result in termination and legal action.


Intellectual Property

10. Ownership

10.1 TransitionR owns all intellectual property in:

  • Branding;
  • Coaching materials;
  • Methodology;
  • Transition frameworks.

10.2 Goheadhunt retains ownership of the underlying platform technology.

10.3 Athlete content remains owned by the Athlete but licensed to TransitionR as set out above.


Liability & Risk

11. Limitation of Liability

11.1 To the maximum extent permitted by law:

  • TransitionR is not liable for employment disputes;
  • TransitionR is not liable for workplace performance;
  • TransitionR is not liable for Employer misconduct.

11.2 Total liability is capped at fees paid in the previous 12 months.

11.3 Nothing excludes rights under Australian Consumer Law.


Termination

12. Suspension or Termination

TransitionR may suspend or terminate access if:

  • Terms are breached;
  • Data misuse occurs;
  • Misrepresentation is detected;
  • Insolvency Event occurs.

Dispute Resolution

13.1 Disputes must first be resolved by:

  1. Written notice;
  2. Good faith negotiation;
  3. Mediation in Queensland.

Governing Laws

14.1 This Agreement is governed by the laws of Queensland, Australia.
